Practice Description:

Atika is a Law graduate who was involved in student organization and did internship during her academic study. She is currently an AssociateTrainee at Ery Yunasri and Partners. A summary of her experience in Corporate Commercial work appears below:

• Assisting in the establishment of both Foreign Direct Investment (PMA) and Domestic Direct Investment (PMDN) companies;
• Assisting in the mergers and acquisition process;
• Assisting in restructuration of companies and its subsidiaries;
• Assisting in corporate secretarial work and documentation;
• Conducting legal due diligence on limited liability companies for the purpose of company acquisition;
• Conducting legal due diligence on Non-Performing Loan;
• Drafting and reviewing agreement such as :
  • Shares sales and Purchase Agreement;
  • Shares Pledge Agreement
  • Mandatory Exchangeable/Convertible Bond Agreement;
  • Memorandum of Understanding for the Nickel Offtake;
  • Settlement Agreement, Lease Agreement;
• Drafting circular resolution on Annual General Meeting of Shareholder (AGMS) and Extraordinary General Meeting of Shareholder (EGMS);
• Managing the Online Single Submission (OSS) systems for several companies, in terms of managing business fields, business identification number (NIB);
• Handling applications for the approval and issuance of Permits for Transportation and Sale of Metals and Metal Ores;
• Providing legal advice on issues related to foreign and domestic investment law, company law, and licensing rules in various fields of business.

• Conducting legal due diligence on limited liability companies for the purpose of Initial Public Offering (IPO);
